It is my job to please my clients. Therefore it is important that we have an understanding of what is expected for the Web site and the payment schedule for the same.

Authorization -- The above-named client is engaging H&T Web & Electronic Publishing as an independent contractor for the specific project of developing and/or improving a World Wide Web site to be installed on the client's Internet Service Provider (ISP).

The client hereby authorizes H&T Web & Electronic Publishing to access this account and authorizes the ISP to provide H&T Web & Electronic Publishing with "write permission" for the client's web page directory, cgi-bin directory, and any other directories or programs which need to be accessed for this project. Payment in full must be received by H&T Web & Electronic Publishing before the Web site is uploaded to the client's ISP.

If the client prefers, the Web site will be placed on a diskette and mailed to the client or placed on a private ISP for one week for the client to copy. After final payment, the client will receive the diskette or URL for the Web site.

Web Site Package

• Includes up to 2 hours Web design consultation by e-mail, FAX or phone. Telephone and FAX charges are in addition to prices quoted.

• Words of text supplied by the client by e-mail, FAX or diskette. Installation of Web pages on the client's ISP host computer, diskette or private ISP.

• Maximum of 2 revisions for graphic images and HTML included in the agreed upon price. Additional revisions will be charged to the client at $20/hr. (Aust. dollars)

Payment of Fees -- Fees to H&T Web & Electronic Publishing are due and payable on the following schedule: 50% upon signing this contract, 50% balance when the Web pages or graphic images have been constructed according to the client's original specifications.

Release of Liability -- The entire risk as to the quality and performance of the Web pages on the Web site is with the client. In no event will H&T Web & Electronic Publishing be liable to the client or any third party for any damages, including lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate their Web site on their ISP.

Trademarks and Copyrights -- All assembled work of Web pages produced by H&T Web & Electronic Publishing will remain the sole copyright property of H&T Web & Electronic Publishing and displayed that way on the Web site. The client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks or other artwork furnished to H&T Web & Electronic Publishing for inclusion in Web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements and will hold harmless, protect and defend H&T Web & Electronic Publishing from any claim or suit arising from the use of such elements furnished by the client.

Agreement -- The agreement contained in this Web Site Design Contract constitutes the sole contract between H&T Web & Electronic Publishing and the client regarding this Web site. Any additional work not specified in this contract, must be authorized by a written change order. All prices specified in this contract will be honored for three (3) months after both parties have signed. H&T Web & Electronic Publishing reserves the right to keep the 50% deposit and the Web site until full payment has been received. Regardless of the place of signing of this agreement, the client agrees that for purposes of venue, this contract was entered into in Melbourne, Australia, and any dispute will be litigated or arbitrated in Melbourne, Australia.
